This website is operated by Panacea ("Panacea", "we", "us"). By accessing or using the site you agree to these terms. If you do not agree to them, please do not use the site.

The content of this site is provided for general information only. It is not an offer to provide services, an invitation to engage us, or a representation that we are able or willing to act in any particular matter. We may change, suspend or withdraw any part of the site at any time without notice.

No client, attorney-client, accountant-client or fiduciary relationship is created by your use of this site, by sending us an inquiry, or by our replying to one. A relationship arises only once both parties have signed a written engagement letter setting out scope, fees and terms. Please do not send confidential or privileged information through this site.

Intellectual property

All text, layout, graphics and code on this site are owned by Panacea or used under license, and are protected by copyright and other intellectual property laws. You may view, download and print pages for your own internal reference. You may not reproduce, republish, distribute or use any part of the site commercially, or create derivative works from it, without our prior written consent.

Links to other sites

Where we link to third-party websites, we do so for convenience only. We do not control those sites, do not endorse their content, and accept no responsibility for them or for any loss arising from your use of them.

Limitation of liability

The site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all warranties, express or implied, as to the accuracy, completeness, currency or fitness for purpose of anything on the site. We accept no liability for any loss or damage, whether direct, indirect, consequential or otherwise, arising from your use of or reliance on the site or its content. Nothing in these terms limits liability that cannot lawfully be limited.

Professional and Regulated Services

Panacea is a business services company. It is not a law firm, is not a licensed public accounting firm, and is not a registered investment adviser or broker-dealer, except where expressly stated in a signed engagement letter.

Certain services described on this site may only be provided by individuals holding a professional license. Where an engagement requires such a service, it is delivered either by an appropriately licensed individual or by an independent licensed firm engaged for that purpose, under separate written terms that will be disclosed to you. Specifically:

• Immigration. Legal advice on immigration matters, and representation before government agencies, is provided only by a licensed attorney or an accredited representative. Panacea's non-attorney personnel provide administrative, document-preparation and project-management support and do not give legal advice.
• Accounting. Bookkeeping, management reporting and advisory support are provided by Panacea. Audit, review, attestation and other services reserved to licensed public accountants are provided only by a licensed CPA or CPA firm.
• Investment and capital. References to private investment or growth capital describe Panacea's own investing activity. They are not investment advice, not a recommendation, and not an offer or solicitation to buy or sell any security or to invest in any fund or vehicle. Any such offer would be made only to eligible persons through formal offering documents.
• Security services. Where corporate or physical security services require state licensing, they are provided by appropriately licensed personnel or licensed providers.

If you are unsure which entity or individual is responsible for a particular piece of work, ask us and we will tell you in writing.

Conflicts of Interest

Panacea both advises companies and invests in them, and may act for businesses that compete with one another. We check for conflicts before accepting an engagement and disclose in writing any interest that could reasonably bear on our advice to you. Where a conflict cannot be cleanly managed, we decline one side of it. Nothing on this site should be read as a representation that we hold no interest in a company we advise, or no interest in a company we describe.

Privacy Notice

We are the controller of personal data collected through this site. This notice explains what we collect, why, and what rights you have.

What we collect

• Information you give us. Your name, email address, phone number, company and the content of any message you send through our contact form or by email.
• Recruitment information. Where you apply for a role, your resume, cover letter and any supporting material you choose to send.
• Technical information. Standard server log data recorded by our hosting provider, including IP address, browser type and pages requested.

Please do not submit sensitive personal information through the contact form, including immigration documents, financial records, health information or government identifiers. If we need such material we will tell you how to send it securely.

Why we use it

To respond to your inquiry, to assess and administer job applications, to run and secure the website, and to comply with our legal and regulatory obligations. Our lawful bases are your consent, our legitimate interest in operating and protecting our business, the performance of a contract where one exists, and compliance with legal duties.

Sharing and retention

We do not sell personal data and we do not share it for advertising. We disclose it only to service providers who host our website and email on our behalf, to licensed professionals or partner firms where necessary to deliver a service you have asked for, to professional advisers, and to authorities where we are legally required to do so. Inquiry correspondence is retained for up to twenty-four months, and unsuccessful applications for up to twelve months, unless you ask us to delete them sooner.

Your rights

Subject to applicable law, you may request access to the personal data we hold about you, ask us to correct or delete it, object to or restrict our processing of it, or withdraw a consent you have given. To exercise any of these rights, or to raise a concern about how we handle your data, write to us using the contact details below.

Cookies

This website does not set analytics, advertising or tracking cookies. We load typefaces from a third-party font service, which receives your IP address in order to serve those files. Standard security and access logs are kept by our hosting provider.

Nothing on this website constitutes legal, immigration, tax, accounting, audit, investment, financial or other regulated advice, nor a recommendation, offer or solicitation to buy or sell any security or financial instrument, nor an offer of employment.

Any figures describing our disciplines, durations, fees or engagement history are indicative and provided for general illustration. They are not a forecast, a guarantee of future results, or a commitment as to what any particular engagement will involve or cost. Engagement terms are agreed only in writing.

Descriptions of client situations on this site do not identify any client and should not be read as doing so. We do not publish client names or case material without prior written consent.
